Terms of service

These Terms of Service (“Terms”) are a legally binding agreement between you (“Customer”, “you”) and Wish Agency Ltd, trading as Wisdom (“we”, “us”). They govern your use of the Wisdom platform at clientwisdom.com and app.clientwisdom.com, and all related services (the “Service”).

1. About Wisdom

Wisdom is a cloud-based platform developed by Wish Agency Ltd to help agencies and service businesses manage clients, time tracking, retainers, projects and team collaboration. Subscription tiers are Wise, Wiser and Wisdom Pro, each with its own per-user storage allowance. Current prices are listed on our pricing page; annual payments receive a one-month discount.

2. Your account

You are responsible for keeping your account credentials confidential and for all activity under your account. You may assign administrators to manage users and permissions. You agree to provide accurate information and to keep it up to date.

3. Customer data

You retain all rights to data you upload (“Customer Data”). By using Wisdom you grant us a limited, worldwide, royalty-free licence to host, store, process and display your Customer Data solely in order to provide the Service.

You are responsible for having the necessary permissions to submit Customer Data. Do not upload data classified as sensitive under Article 9(1) GDPR, HIPAA, PCI DSS or similar regulations unless separately agreed in writing.

4. Storage limits

Storage limits apply per user, according to your plan. Exceeding them may result in restricted functionality or additional fees; we will contact you to upgrade or enforce limits if usage is excessive.

5. Pricing and billing

5.1 Subscription fees

Fees are charged monthly or annually in GBP depending on your chosen plan. Billing is processed securely by our third-party payment provider, currently Stripe.

5.2 Free trials and refunds

New users may access a 30-day free trial. Subscriptions cancelled within that period are not charged. Refunds are not issued for partial months unless required by law.

5.3 Price adjustments

We may change our pricing. If we do, we will give at least 60 days’ written notice, and your subscription will move to the new pricing at the end of the notice period unless you cancel.

5.4 Auto-renewal

Subscriptions renew automatically unless cancelled. To prevent renewal, cancel before the current term ends.

6. Modifications to the Service

We may add, modify or remove features at our discretion. Where changes materially affect functionality, we will give notice by email or in-app alert.

7. Limitation of liability

To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with these Terms, the Service and any related third-party services shall not exceed the total subscription fees paid by you in the six months preceding the event giving rise to the liability.

We are not liable for loss of profits, revenue, business opportunity or goodwill, nor for any indirect, special, incidental, punitive or consequential losses of any kind. We are not liable for data loss, corruption or destruction except to the extent caused by our gross negligence or wilful misconduct.

8. Termination

You may cancel at any time; access continues until the end of the current billing cycle. We may suspend or terminate accounts for violation of these Terms or for non-payment.

On termination you are responsible for exporting your Customer Data. After account deletion, your data will no longer be accessible.

9. Intellectual property

All platform content, software and branding remain the property of Wisdom (Wish Agency Ltd). You are granted a non-exclusive, non-transferable right to use the Service during your active subscription.

10. Third-party integrations

Wisdom integrates with third-party tools such as calendars, accounting software and project management systems. Your use of those services is governed by their own terms. We are not liable for their actions, content or data practices.

11. Global use and regional terms

These Terms apply under UK law. We may issue separate regional terms for jurisdictions such as the USA, EU or Middle East, addressing local legal, tax and data requirements. US users agree to jurisdiction in Delaware and arbitration under AAA Rules unless otherwise stated in regional terms.

12. Amendments

We may update these Terms to reflect legal, technical or commercial changes, and will notify users of material updates. Continued use of the Service after the effective date constitutes acceptance.
